Important: These Terms are a binding agreement between you and

Falue LLC, a Delaware limited liability company. By registering an account and

accepting these Terms, you also grant the content rights stated below. Falue

does not need to seek separate permission for each use already authorized by

your agreement.

1. About These Terms

These Terms of Service ("Terms") govern access to and use of Falue's websites,

applications, software, features, communications tools, and related services

("Services"). The Services are operated by Falue LLC, a Delaware limited

liability company ("Falue," "we," "us," or "our"). The Privacy Policy,

Community Guidelines, Copyright/DMCA Policy, Safety policies, and

feature-specific rules may supplement these Terms.

 

2. Acceptance

By creating or registering a Falue account, accepting these Terms, or using the

Services after these Terms are presented, you enter into a binding agreement

with Falue LLC. Acceptance includes the content license below. Falue does not

need separate permission each time it exercises a right already granted by

these Terms. If you do not agree, do not create an account or use the Services.

 

3. Eligibility and Age

You must be at least 13 years old to create or maintain a Falue account. If

applicable law requires a higher minimum age or legally required consent, you

must satisfy it. Users under 18 may receive additional privacy, messaging,

discovery, recommendation, advertising, location, livestream, content, and

safety protections.

 

4. Accounts and Security

Provide accurate information where required and protect your credentials. Do

not impersonate others, create accounts without authority, misrepresent

identity unlawfully, or obtain usernames through fraud or coercion. Notify

Falue promptly of suspected compromise. Falue may require verification,

credential resets, or protective measures.

 

5. Usernames and Identifiers

Usernames, handles, badges, and similar identifiers are provided for use within

Falue and are not sold to you. Falue may change, reclaim, restrict, or remove

them when reasonably necessary for impersonation, infringement, inactivity,

security, fraud, policy enforcement, or platform administration.

 

6. Falue Features

Falue may provide profiles, posts, photos, videos, comments, Stories, Reels,

ratings, reviews, reactions, reposts, recommendations, feeds, followers,

friends, groups, spaces, direct messages, voice and video communications,

discovery, notifications, and creator or business tools. Features may be

tested, changed, limited, suspended, or discontinued. Falue does not guarantee

audience, ranking, rating, reach, recommendation, or distribution.

 

7. Your Content and Ownership

As between you and Falue, you retain ownership of intellectual property rights

you own in photos, videos, audio, text, comments, ratings, reviews, graphics,

livestreams, and other material you submit ("Your Content"). These Terms do not

transfer your copyright ownership to Falue. You may submit only content you

have the right to submit and license, and you are responsible for obtaining

required rights for third-party material.

 

8. License You Grant Falue

 

By creating an account and accepting these Terms, you agree to this

content-license framework. Each time you submit Your Content, the license

arises automatically under these Terms; Falue is not required to ask for

separate or additional permission for a use already authorized here.

 

You grant Falue LLC a non-exclusive, worldwide, royalty-free, transferable,

and sublicensable license to host, store, cache, reproduce, copy, process,

adapt, modify, translate, transcode, compress, format, create technical or

functional derivative versions of, publish, distribute, communicate,

transmit, publicly perform, publicly display, and otherwise use Your Content

for operating, providing, securing, moderating, improving, developing,

supporting, and promoting Falue and the Services, consistent with these Terms,

applicable policies, law, and account or privacy settings.

 

This includes displaying public content in feeds; resizing images; transcoding

media; generating thumbnails, previews, captions, or accessibility formats;

using hosting and content-delivery providers; enabling sharing and reposting;

displaying attribution, usernames, profile images, ratings, or related

information; detecting spam, fraud, abuse, infringement, or security threats;

and allowing service providers acting for Falue to perform those functions.

 

For content you intentionally make public, the license also permits Falue to

feature or demonstrate that public content in connection with promoting Falue.

Private direct communications will not be treated as public promotional

content merely because Falue has technical rights needed to transmit, store,

protect, process, and deliver them. No royalty or other compensation is owed

merely because Falue exercises these rights unless separately agreed in

writing.

 

The license generally ends when Your Content is deleted from active systems,

except where others have shared or incorporated it and have not deleted it;

retention is reasonably necessary for backups, security, fraud prevention,

legal compliance, disputes, enforcement, or evidence; material has been

de-identified or aggregated; or law permits or requires retention.

 

9. Public Content and Reposts

If you make content or an account public, it may be viewed beyond your intended

audience and appear in recommendations or search. Others may share, link,

quote, repost, embed, capture, or redistribute public material using available

features or as permitted by law. Falue sharing tools do not transfer copyright

ownership.

 

10. Messages and Calls

Falue may provide direct messages, group communications, voice calls, and

video calls. You grant Falue technical rights reasonably necessary to route,

transmit, store, process, secure, deliver, and maintain communications and

associated metadata. Falue may process communications where permitted or

required by law for safety, abuse prevention, reports, security, legal

compliance, or enforcement. Unless expressly stated, Falue does not promise

every communication is end-to-end encrypted, permanently retained, or

permanently recoverable.

 

11. Ratings and Reputation

Ratings are user-generated signals and may be averaged, weighted, displayed,

limited, removed, or processed by Falue. You may not buy, sell, automate,

manipulate, coordinate, or fraudulently obtain ratings, reviews, engagement,

followers, friendships, or reputation signals. Targeted rating attacks, bots,

scripts, multiple-account manipulation, coercion, or deceptive incentives are

prohibited.

 

12. Prohibited Conduct

You may not use Falue to violate law or rights, evade enforcement, compromise

security, interfere with the Services, or facilitate prohibited conduct. This

includes child sexual exploitation or grooming; threats, stalking, harassment,

or doxxing; nonconsensual intimate imagery; fraud, phishing, scams, identity

theft; infringement; malware or unauthorized access; unlawful scraping or

systematic harvesting; prohibited reverse engineering; artificial engagement;

unauthorized account sales or transfers; unlawful transactions; or assisting

violations.

 

13. Moderation and Enforcement

Falue may review, label, restrict, reduce distribution of, remove, preserve,

or disable access to content to enforce these Terms or policies, protect users

or the public, comply with law or legal process, address infringement, protect

Falue rights, or maintain integrity or security. Enforcement may include

warnings, removal, feature restrictions, reduced distribution, verification,

suspension, permanent disablement, or prevention of replacement accounts.

Falue may use automated systems, human review, user reports, and external

experts. Appeals may be available under applicable rules.

 

14. Teen Safety

Users ages 13 through 17 may receive different default settings and

restrictions from adults. Falue may limit sensitive content, adult-to-minor

interactions, messaging, discovery, recommendations, advertising, location

sharing, livestreaming, or other functionality. Adults may not groom,

sexually exploit, solicit sexual material from, or engage in predatory conduct

toward minors.

 

15. Nonconsensual Intimate Imagery

Falue prohibits nonconsensual intimate imagery and other intimate material

prohibited by law or policy, including qualifying authentic or digitally

created intimate depictions distributed without consent. Falue will maintain

a notice-and-removal process for requests covered by applicable law, including

the federal TAKE IT DOWN Act where applicable.

 

16. Copyright and DMCA

Falue respects intellectual property rights. Copyright notices may be sent to:

A DMCA notice should identify the copyrighted work and allegedly infringing

material; provide contact information; include legally required good-faith and

accuracy/authority statements; and include a physical or electronic signature.

An affected user may submit a legally compliant counter-notification. Falue may

restore material after a valid counter-notification where permitted. Falue may

terminate or restrict repeat infringers. This public contact does not replace

any separate U.S. Copyright Office designated-agent registration required for

applicable safe-harbor protection.

 

17. Trademarks and Other Rights

You may not use Falue trademarks, logos, trade dress, interface elements, or

brand assets except as expressly permitted or allowed by law. Trademark,

impersonation, privacy, publicity, and other rights complaints may be submitted

through Falue reporting or support mechanisms.

 

18. Falue Intellectual Property

Except for user content and third-party material, Falue and its licensors own

the Services and associated software, code, visual design, databases,

compilations, algorithms, trademarks, logos, graphics, interfaces, and other

intellectual property. Falue grants you a limited, personal, non-exclusive,

non-transferable, revocable right to use the Services for intended purposes.

 

19. Software and Updates

Falue software may automatically install updates. You may not copy, modify,

distribute, sell, lease, sublicense, reverse engineer, decompile, or attempt to

extract source code except where restrictions are prohibited by law or Falue

gives written permission.

 

20. Third-Party Services

Falue may contain links, integrations, advertisements, payment services, app

stores, or other third-party services. Falue does not control or assume

responsibility for third-party services merely because they are accessible

through Falue. Separate terms may apply.

 

21. Advertising and Commercial Activity

Falue may display advertising, sponsored content, promotions, recommendations,

or commercial communications. Business, creator, advertiser, and monetization

features may have additional terms. Commercial users must comply with law,

required disclosures, and Falue policies. Falue does not guarantee advertising

performance, reach, revenue, or monetization eligibility.

 

22. Feedback

If you voluntarily provide ideas, suggestions, proposals, or feedback about

Falue, you grant Falue a worldwide, perpetual, irrevocable, royalty-free right

to use, modify, commercialize, and exploit that feedback without restriction

or compensation, to the extent permitted by law. This does not convert Your

Content generally into Falue-owned content.

 

23. Privacy and Data

Falue's Privacy Policy describes processing of personal information. You must

not collect, scrape, sell, disclose, or misuse information about other users

except as authorized by Falue, the affected person, and applicable law.

 

24. Account Deletion

You may stop using Falue and request account deletion through methods Falue

makes available. Deletion may not immediately remove every copy from backups,

legal records, security systems, content shared by others, or information Falue

is legally permitted or required to retain. The content-license and Privacy

Policy also govern deletion effects.

 

25. Suspension or Termination

Falue may suspend, restrict, or terminate access because of violations, legal

obligations, security risks, harm to users or Falue, prolonged inactivity

where permitted, discontinuation, or other legitimate operational reasons.

Serious safety, fraud, exploitation, security, or legal circumstances may

require immediate action.

 

26. Legal Requests and Preservation

Falue may preserve or disclose information where reasonably necessary to

comply with applicable law, valid legal process, emergency requests permitted

by law, preservation obligations, enforcement, fraud or security

investigations, or protection of rights and safety.

 

27. Service Availability

The Services are evolving. Falue does not promise uninterrupted, error-free,

secure, or permanent availability. Maintenance, outages, incidents, failures,

legal requirements, or product changes may affect access. Falue may impose

reasonable technical, storage, usage, or feature limits.

 

28. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND

"AS AVAILABLE." FALUE DISCLAIMS EXPRESS AND IMPLIED WARRANTIES, INCLUDING

MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND

NON-INFRINGEMENT. FALUE DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE

SAFE, SECURE, UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR

THAT USER CONTENT OR INFORMATION WILL BE ACCURATE OR RELIABLE.

 

29. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FALUE LLC AND ITS AFFILIATES,

OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE

LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR

PUNITIVE DAMAGES, OR LOST PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS

OPPORTUNITIES, ARISING FROM THE SERVICES OR THESE TERMS. TO THE MAXIMUM EXTENT

PERMITTED BY LAW, FALUE'S AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF

THE AMOUNT YOU PAID FALUE FOR THE RELEVANT SERVICES DURING THE TWELVE MONTHS

BEFORE THE EVENT OR $100, EXCEPT WHERE LAW PROHIBITS THIS LIMIT.

 

30. Indemnification

To the extent permitted by law, if you use Falue for business or commercial

purposes or on behalf of an organization, you agree to defend, indemnify, and

hold harmless Falue LLC and its affiliates, officers, directors, employees,

and agents from third-party claims, liabilities, damages, losses, and

reasonable costs arising from your unlawful use, material breach, or content

or activity for which you are legally responsible. This does not require

consumer indemnification where prohibited by law.

 

31. Disputes, Governing Law, and Venue

These Terms and any dispute arising out of or relating to them or the Services

are governed by applicable law, including applicable federal law and, where

legally permissible, the laws of the State of Delaware, without regard to

conflict-of-laws principles. Nothing in these Terms deprives you of mandatory

consumer protections that apply under the law of your place of residence.

These Terms do not presently require mandatory arbitration and do not contain

a class-action waiver.

 

32. Changes to These Terms

Falue may update these Terms to reflect changes to the Services, law, safety

practices, or operations. When changes are material, Falue will provide notice

as required by law and may require renewed acceptance. Continued use after a

lawful effective date constitutes acceptance where permitted by law.
